By working with Building Blocks, you agree to clear project scope, fair payment terms and defined ownership of deliverables. Designed to protect both sides of every partnership.
Introduction
These Terms of Service ("Terms") govern your use of the Building Blocks website and any services provided by Building Blocks ("we", "us", "our"), including web, app and software development, digital marketing, branding, graphic design and video, cyber security and related services.
By engaging our services, using our website or signing a proposal or contract with us, you agree to these Terms. If you're entering into an agreement on behalf of a company, you confirm you have the authority to do so.
Our Services
We provide digital solutions across web/app/software development, digital marketing, branding, graphic design and video and cyber security, as outlined in individual project proposals, quotes or contracts agreed with each client. Specific scope, deliverables, timelines, and pricing for a project are set out separately in a proposal, statement of work or signed agreement, which forms part of these Terms for that engagement.
Client Responsibilities
To deliver projects effectively, clients agree to:
- Provide timely, accurate information, content and access needed for the project
- Respond to requests for feedback or approval within agreed timeframes
- Ensure they have the right to use any materials (logos, images, text, etc.) provided to us
- Make payments in line with the agreed schedule
Delays in providing information or feedback may affect project timelines and are not the responsibility of Building Blocks.
Fees and Payment
- Fees for services are set out in the relevant proposal or agreement
- Unless otherwise agreed, invoices are payable within 7 days of issue
- Late payments may result in paused work and/or late payment charges
- Ongoing/retainer services are billed on the agreed timeline and may be subject to a minimum notice period to cancel
- All fees are exclusive of VAT unless stated otherwise
5. Intellectual Property
- Upon full payment, clients receive ownership of the final agreed deliverables (e.g. final website, designs or software) as set out in the relevant agreement
- Building Blocks retains ownership of any pre-existing tools, frameworks, templates, or proprietary systems used to deliver the work, and grants the client a licence to use these as part of the delivered project
- We may showcase completed work in our portfolio, case studies and marketing materials unless a client requests confidentiality in writing
- Any third-party assets (fonts, stock imagery, plugins, licensed software) remain subject to their own licence terms
Revisions and Changes
- Projects include an agreed number of revision rounds, as set out in the proposal
- Requests beyond the agreed scope or revision rounds may incur additional fees
- Significant changes to project scope after work has started may require a revised timeline and quote
Confidentiality
Both parties agree to keep confidential any non public business, technical or client information shared during the course of the engagement and not to disclose it to third parties without consent, except where required by law.
Limitation of Liability
- We aim to deliver services with reasonable skill and care, but we do not guarantee specific business outcomes (e.g. exact revenue, ranking positions or lead volumes)
- To the fullest extent permitted by law, Building Blocks' total liability for any claim arising from our services is limited to the fees paid by the client for the specific project in question
- We are not liable for indirect, incidental or consequential losses, including loss of profits, data or business opportunity
- Nothing in these Terms limits liability for death, personal injury caused by negligence or fraud, where such limitation is not permitted by law
Termination
- Either party may terminate an active engagement with 14 days' written notice, as set out in the relevant agreement
- Clients are responsible for payment for all work completed up to the termination date
- We reserve the right to pause or terminate services if payment is significantly overdue or if these Terms are breached
Third Party Services
Some projects may involve third-party platforms or services (e.g. hosting providers, CMS platforms, payment processors, marketing tools). Building Blocks is not responsible for the availability, performance or policies of third party services outside our direct control.
Governing Law
These Terms are governed by the laws of England and Wales and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of our services after changes constitutes acceptance of the updated Terms.
